Can Excel 2003 run on Windows ME. I was just told that if you don't have XP
you can't upgrade to Excel 2003.

Thats correct, Windows XP (2002) and onwards only works if you have a Windows

Excel 2003 requires Windows 2000 with Service Pack 3 or higher, or
Windows XP, or Windows 2003.
