Default Excel not completely closing down

Excel is not completely closing down but staying active in the background. I
have found at times 4 sessions running under XP processes while there were no
programs running at the time. When this is happening, if you open an Excel
workbook it comes up with no worksheets, only toolbars until you select Full
Screen.
